We are seeking a passionate and driven individual with strong knowledge and experience in corporate law applicable to a publicly listed company including advice related to financing sources (equity and debt).

 

About the Role

 

We have an exciting opportunity for an experienced Senior Corporate Lawyer to support our business stakeholders by providing timely and high-quality legal advice to the Group. You will be providing legal advice on Corporations law, ASX listing rules, plus debt financing facility related work and other corporate commercial legal advice such as intellectual property and privacy laws.

 

As a Senior Corporate Lawyer, you can anticipate some of your day-to-day tasks to include:

  • Negotiate and draft various business contracts and service agreements such as finance agreements, acquisition agreements, confidentiality and other ancillary agreements.
  • Legal advice in relation to the legal requirements of the company’s equity incentive plans and their administration in conjunction with external share registry providers
  • Supervise and act as alternate Privacy Officer for the Australian Group companies.
  • In conjunction with the Chief Legal and Risk Officer ensure appropriate corporate governance processes and practices are in place and maintained including maintenance of key corporate registers in relation to material contracts, trademarks, and other key company records.
  • Legal compliance programs - in conjunction with the Australian and international legal operations teams, contribute to development and continual improvement of programs including delivery of training on key obligations for the Group related to corporate laws.
  • Provide legal advice and support as part of project teams for major projects on an ad-hoc basis as needed.
  • Provide assistance with annual general meeting and other company secretarial reporting and obligations for the parent company and its subsidiaries.
  • Adhoc legal advice on other commercial legal business matters and contracts as required to support business objectives.

About You

  • 10-15 years' relevant legal experience in corporate law, and commercial and contractual negotiation is essential. 
  • Inhouse legal experience essential as is the ability to liaise confidently across the business including at Executive level.
  • Ability to act autonomously and show leadership in a fast paced, high growth commercial environment. 
  • Demonstrated ability to juggle priorities and to work collaboratively on a number of projects at any one time.
  • Experience in drafting and developing legal documentation essential.
